General Counsel - In-House Legal Counsel (Public Company)

Responsibilities

Advise on SEC compliance, including preparation and review of periodic reports (Forms 10-K, 10-Q, 8-K), proxy statements, Section 16 filings (Forms 3, 4, 5), and other public disclosures
Support corporate governance matters, including board and committee meetings, minutes, charters, insider trading policies, and compliance with Sarbanes-Oxley Act requirements
Draft, review, and negotiate commercial agreements, such as vendor contracts, customer agreements, NDAs, licensing deals, and strategic partnerships
Manage investor relations-related legal support, including review of earnings releases, press releases, investor presentations, and Reg FD compliance
Provide guidance on equity compensation plans, stock issuances, and employee benefit matters compliant with securities laws
Oversee risk management, litigation, disputes, and regulatory inquiries, coordinating with outside counsel as needed
Ensure compliance with federal, state, and international laws, including anti-corruption (FCPA), data privacy (GDPR, CCPA), and industry-specific regulations
Support capital markets transactions, including debt/equity offerings, M&A, due diligence, and integration activities
Develop and conduct training programs on securities law compliance, insider trading, and corporate policies for employees and directors
Maintain corporate records, subsidiary management, and entity compliance

Required

Juris Doctor (JD) degree from an accredited law school
Active membership in good standing with at least one state bar
5+ years of relevant legal experience, including substantial work on public company matters (SEC reporting, corporate governance, and capital markets)
Strong knowledge of U.S. securities laws (1933 Act, 1934 Act), NASDAQ rules, and Sarbanes-Oxley compliance
Proven ability to deliver practical, timely, and business-focused legal advice in a dynamic public company environment
Excellent drafting, negotiation, analytical, and communication skills
High ethical standards, discretion in handling confidential and material non-public information
Ability to manage multiple priorities, work cross-functionally, and collaborate with finance, IR, and executive teams

Preferred

Direct in-house experience at a NASDAQ-listed or publicly traded company
Experience in technology, finance, or alternative finance sectors
Expertise in capital markets transactions (e.g., IPOs, follow-on offerings, debt financings) and M&A for public companies
Familiarity with shareholder activism defense or proxy advisory firm engagement
Proficiency in managing outside counsel and legal department budgets effectively
