Responsibilities
Provide guidance on transactional, regulatory, and corporate governance matters, focusing on federal securities laws
Draft, negotiate, and review agreements for complex business transactions and investment structures
Interpret and apply securities regulations to support innovation while managing risks
Assist in structuring registered and unregistered investment vehicles, such as interval funds, BDCs, and REITs
Collaborate with business, compliance, and finance teams to integrate legal considerations into decision-making
Develop scalable legal processes to support organizational growth
Qualification
Required
J.D. with a strong academic background
3–4 years of legal experience, ideally in capital markets or asset management, preferably at a major law firm or sophisticated in-house environment
Strong understanding of U.S. securities laws (Securities Act of 1933, Exchange Act of 1934)
Willingness to learn Investment Company Act of 1940 and Investment Advisers Act of 1940
Excellent analytical, writing, and communication skills; ability to simplify complex legal concepts for business stakeholders
Proactive, solutions-oriented, entrepreneurial, and comfortable with ambiguity
Ability to advise senior leadership and work cross-functionally to develop practical solutions
