Senior Corporate Counsel

They are seeking a dynamic Senior Corporate Counsel to provide strategic legal guidance and transactional support, focusing on managing supplier and member agreements and advising on compliance matters in a highly regulated industry.

Responsibilities

Independently draft, review, and negotiate a wide range of commercial documents, including supplier contracts, membership agreements, intellectual property, licensing, consulting arrangements, and custom pricing agreements
Develop and maintain contract templates
Provide legal guidance on contract interpretation and related issues impacting group purchasing operations
Advise on compliance with applicable laws and regulations, including Anti-Kickback statutes and GPO Safe Harbor requirements
Assist in drafting and implementing policies related to contracting processes, ethics, and compliance
Conduct training and presentations for internal stakeholders on legal and compliance matters
Serve as a trusted advisor to all internal departments, offering guidance on regulatory issues and complex procurement arrangements
Support special projects and strategic initiatives as assigned by the General Counsel

Required

J.D. from an ABA-accredited, nationally recognized law school; strong academic credentials required
Licensed to practice law in at least one U.S. jurisdiction
5+ years of legal experience, ideally at a large law firm; additional in-house experience a plus
Proven ability to manage a high volume of complex legal projects and competing priorities
Expertise in drafting and negotiating commercial, procurement, and supply chain agreements
Exceptional communication and interpersonal skills; ability to work collaboratively with senior management and external parties
Highly developed analytical and problem-solving skills; self-starter with sound judgment under pressure

Preferred

M&A experience strongly preferred
Understanding of group purchasing operations preferred
The ability to anticipate procurement trends and regulatory impacts is preferred
