Responsibilities

Assist in the formation of business entities, including corporations, partnerships and limited liability companies. Prepare corporate formation documents and board and stockholder resolutions. Prepare and maintain corporate record books in both paper and electronic format
Assist attorneys in closing business transactions, including corporate financings, mergers and acquisitions and private fund closings. Utilize Litera Transact, DocuSign, Carta and similar software solutions in conjunction with closings. Prepare and maintain electronic closing binders
Research state corporate filing requirements, drafting and filing documents required to form and maintain business entities, including corporations, partnership, limited liability companies and not-for-profit organizations
Review and track subscription documents, including review of subscription agreements and supporting documentation
Prepare, file and track federal and state securities filings and amendments (i.e. Form ID/Form D and/or Blue Sky related exemption filings)
Attend to and track corporate filings, including charter filings, UCC filings and SS-4 applications; order and summarize lien search results
Utilize Word, Excel, Adobe, Nuance and dedicated corporate maintenance software and technology
Maintain and organize files and workrooms
Perform additional administrative tasks as requested by attorneys

Required

Bachelor's degree
Demonstrated analytical, organizational, writing and communication skills
Ability to collaborate effectively with legal and administrative staff and clients
Technical Proficiency in MS Office Suite

Preferred

Experience using electronic signature solutions (i.e. DocuSign, Litera Transact), and electronic cap table management software (i.e. Carta)
