Responsibilities
Advising on ERISA compliance for tax-qualified retirement plans, including fiduciary duties, prohibited transactions, reporting requirements, and DOL/IRS interactions
Handling ERISA aspects of fund formation and operation — think private equity funds, hedge funds, real estate vehicles, and other investment structures where plan investors are involved
Supporting executive compensation and benefits issues in M&A, spin-offs, IPOs, restructurings, and cross-border deals — from retention planning and incentive design to due diligence and integration
Counseling on 401(k), pension, health & welfare plans, and related tax/SEC disclosure matters (experience here is a real plus!)
Collaborating closely with our top-tier Corporate, Tax, Private Funds, and Structured Finance teams to deliver seamless, market-leading advice on complex, multi-disciplinary transactions
Qualification
Required
2 to 3 years of relevant experience with a strong focus on ERISA and tax-qualified retirement plans
Solid knowledge of ERISA compliance, particularly in fund formation, investment management, and/or structured finance contexts
Excellent academic credentials (JD from a top school preferred)
Admitted to the New York Bar (or immediately admissible)
Sharp analytical skills, attention to detail, and the ability to thrive in fast-paced, sophisticated deals
Great communicator who enjoys working in a collaborative, team-oriented environment
