Responsibilities
Lead and oversee private equity deals from negotiation to closing, including acquisitions, divestitures, and co-investments
Draft and negotiate fund formation, partnership, and investor agreements to ensure accuracy and compliance
Advise on portfolio company matters, incentive plans, and exit strategies
Work closely with deal, tax, compliance, and operations teams to support efficient execution
Provide counsel on investment structures, regulations, and risk management to align with firm objectives
Qualification
Required
Juris Doctor (JD) from an accredited law school and active member of the New York State Bar in good standing
8-12 years advising on private equity and M&A transactions, including fund formation, gained at a top-tier law firm or investment firm
Strong understanding of the private equity lifecycle, including fund formation, portfolio management, and exit strategies
Exceptional drafting, negotiation, and communication abilities, with proven capacity to manage multiple high-stakes matters independently
Demonstrates integrity, attention to detail, and a commitment to excellence, collaboration, and long-term value creation
