Responsibilities
Structure Corporate Deals – Draft and negotiate agreements for mergers, acquisitions, and financings, incorporating real estate elements for integrated transactions
Manage Client Portfolios – Oversee existing matters while identifying growth opportunities, building long-term relationships with business owners and executives
Conduct Due Diligence – Review contracts, titles, and financials in corporate-real estate hybrids, mitigating risks with tax and estates insights
Advise on Compliance – Provide counsel on regulatory frameworks, including SEC filings and state laws, supporting multi-area business strategies
Facilitate Closings – Coordinate seamless executions, from entity formations to asset transfers, ensuring client objectives are met efficiently
Qualification
Required
Juris Doctor (JD) degree from an accredited law school
Active attorney license in New Jersey and/or New York
Experience in corporate transactions, including mergers and acquisitions
Strong negotiation and drafting skills for corporate agreements
Ability to manage client portfolios and build long-term relationships
Experience conducting due diligence in corporate-real estate transactions
Knowledge of regulatory compliance, including SEC filings and state laws
Strong organizational skills to facilitate closings and coordinate transactions
Preferred
Experience in real estate law
Familiarity with tax law and estate planning
Prior experience working in a law firm environment
Strong academic background, preferably from an Ivy League institution
Demonstrated ability to work collaboratively in a team setting
