Responsibilities

Lead the structuring, negotiation, and execution of complex corporate transactions, including mergers, acquisitions, joint ventures, and strategic investments

Draft, review, and negotiate a wide range of commercial contracts, including shareholder agreements, operating agreements, NDAs, and service agreements

Advise clients on corporate governance, fiduciary duties, and compliance with federal and New York state corporate laws and regulations

Oversee due diligence processes for corporate transactions, identifying legal risks and preparing comprehensive reports for clients and internal stakeholders

Counsel startups, mid-size businesses, and large enterprises on entity formation, capital structuring, and financing arrangements, including venture and private equity deals
