Responsibilities

Provide legal advice regarding compliance with REIT qualification requirements under the Internal Revenue Code

Advise on private equity partner governance rights, consent requirements, reporting obligations, and transfer restrictions

Assist with REIT governance matters, including entity structuring, subsidiary compliance, and related-party transactions

Coordinate, as appropriate, with the Company’s finance personnel, tax advisors, and external counsel

Provide legal services in connection with real estate acquisitions, dispositions, and leasing, including drafting and negotiating purchase and sale agreements, letters of intent, commercial leases (including NNN retail), amendments, assignments, and closing documents

Review transaction-related due diligence materials, including title, zoning, environmental, contract, and tenant matters

Advise on landlord-tenant issues, enforcement actions, and risk mitigation strategies

Draft and maintain investor, operating, and capital-related documentation, including capital contribution provisions, distribution mechanics, transfer restrictions, and redemption terms

Draft and negotiate agreements customary to a private REIT platform, including property management, development, easement, vendor, and confidentiality agreements

Provide legal advice to Company stakeholders in a manner consistent with an independent contractor relationship and the exercise of independent professional judgment

Provide services on a non-exclusive, project-based basis and retain discretion and control over the manner and means of performing legal services
