Senior Commercial Counsel

Responsibilities
Lead and manage negotiations, drafting, and reviewing of a wide variety of commercial contracts: primarily SaaS agreements with government customers, but also channel and technology partner and vendor, agreements
Provide day-to-day legal support and guidance on commercial transactions, advising internal stakeholders on legal risks, opportunities, and strategies
Work with teams across Mark43 to ensure compliance with existing agreements, and more generally with laws, regulations, and industry standards applicable to the public safety and government technology sectors
Partner with sales, product, finance, and operations teams to advise on legal implications of business strategies, deal structures, and business development efforts
Educate internal stakeholders on relevant legal issues, best practices, and risk management strategies related to contracts, data privacy, intellectual property, and other commercial matters
Contribute to Mark43’s long-term strategic planning, helping identify and mitigate legal risks while supporting business growth and expansion into new markets
Expand your skillset and take on new responsibilities outside your traditional areas of expertise
Qualification
Required
Strong alignment with our mission: A deep passion for using technology to enhance public safety and support government agencies
5+ years of relevant legal experience, preferably with 2+ years in-house at a technology or SaaS company
B2B SaaS experience: Extensive experience drafting, negotiating, and managing contracts related to B2B SaaS products, including subscription-based agreements, licensing agreements, and enterprise-level contracts
Experience selling into government entities: Proven track record of supporting legal transactions and contract negotiations in the public sector, including familiarity with government procurement processes and federal, state and local regulatory compliance
Channel partner contracting experience: Expertise in setting up contractual relationships with channel partners, such as resellers, distributors, and systems integrators
Strategic thinker with practical solutions: Ability to identify and address legal risks while providing creative, business-minded solutions
Strong communication skills: Ability to communicate complex legal concepts clearly to non-legal stakeholders, especially cross-functional teams
Ability to handle multiple priorities: Comfortable working in a fast-paced environment with the ability to manage multiple projects simultaneously, sometimes out of your area of comfort and expertise
Juris Doctor (JD) in good standing and licensed to practice law in at least one state
Preferred
Experience as an in-house legal generalist (i.e. corporate, employment, compliance)
Residence within the tri-state area preferred, with occasional travel required
