Responsibilities
Draft, review, negotiate, and advise on non-disclosure agreements, client engagement letters, and other documentation supporting investment banking and financial advisory activities
Provide day-to-day counsel to investment banking teams on legal, regulatory, commercial, reputational, and risk-management issues
Advise on contract interpretation, dispute resolution, conflicts of interest, and risk mitigation
Monitor legal and regulatory developments impacting investment banking activities and assist in developing, implementing, and refining internal policies and procedures
Coordinate and manage outside counsel, as needed
Recommend process improvements and updated policies in response to evolving legal trends and business needs
Qualification
Required
4-10 years of experience with M&A and financing transactions in a law firm and/or in-house legal department
Excellent drafting, negotiation, and communication skills
Preferred
Prior experience working in an investment bank (or familiarity with investment banking practices) preferred, but not required
