General Counsel
The Institutes is a not-for-profit organization located in Malvern, Pennsylvania, focused on risk management and insurance education. They are seeking a General Counsel to provide strategic legal counsel and advice to the CEO and Senior Management Team, oversee legal matters, and ensure compliance while enabling the organization's growth.

Responsibilities
Serve as a trusted advisor to the SMT on organizational strategy and risk and compliance, anticipating legal issues and providing proactive, business-oriented solutions
Manage relationships with external counsel to ensure quality, cost effective legal services
Draft, review, and negotiate a wide variety of contracts, including vendor, partnership, and service agreements, developing and maintaining standard templates and policies, as well as ensuring terms protect The Institutes’ interests and comply with applicable laws
Participate in legal due diligence, negotiation, and documentation for mergers, acquisitions, partnerships, and joint ventures, advising on deal structure, regulatory compliance, and post transaction integration. Work closely with internal teams to assess risk and align transactions with organizational goals
Provide effective, responsive, and strategic legal advice and counsel to management and employees in the areas of intellectual property, antitrust, corporate governance, legal compliance, and other legal matters related to the enterprise
Partner with Human Resources department on employment related issues including performance issues, terminations, and compliance with federal, state, and local laws
Manage litigation on behalf of the organization and partner with outside counsel, when applicable
Identify and proactively mitigate any potential legal concerns when possible. The GC will be empowered to make and implement sounds decisions to protect the company from legal liability, in collaboration with the CEO
Assume additional responsibilities as assigned
Qualification
Required
Juris Doctor (JD) degree required from an accredited law school
At least 10 years of progressive legal experience, preferably with experience in an in-house counsel role
Attorney in good standing with the PA bar
Excellent interpersonal skills
Preferred
Not-for-profit experience preferred
