Corporate Counsel

Responsibilities

Provide day-to-day legal advice to management and business units, including all community and specialty lending, loan operations, loan servicing, portfolio management, and credit
Review, draft and negotiate loan documents, including loan and security agreements, promissory notes, deeds of trust, subordination agreements and guarantees
Review, draft, and negotiate a wide variety of vendor contracts and non-disclosure agreements, and create/maintain standardized forms
Review and analyze entity formation and other organizational documents, such as operating agreements, bylaws, partnership agreements, resolutions, and court-issues documents. Advising internal clients on organizational and officer authority-related issues, as well as signing authority
Oversee and manage outside counsel
Work across business units and with all levels of management with support partners and business partners to identify and mitigate risk
Develop and implement training for the business units to educate and create broader awareness and contextual perspective

Required

Juris Doctorate (J.D.) from an ABA accredited law school required
Two (2) to five (5) years of legal experience in vendor contracts, contract negotiations and/or lending transactions
Active member of the State Bar of California required
High School diploma or equivalent required
Demonstrate knowledge of and adherence to all policies and procedures, including EEO policy; show respect and sensitivity for cultural differences; educate others on the value of diversity; promote a working environment free of harassment of any type; build a diverse workforce and support affirmative action
Exceptional oral, written and interpersonal communication skills with the ability to apply common sense to carry out instructions, interpret documents, understand procedures, write reports and correspondence, and speak clearly to customers and employees
Ability to function well in a situation with ambiguous or generally-defined goals, issues and methods
Ability to be highly cooperate with others and responsive to the Bank's needs
Ability to deal with complex difficult problems involving multiple facets and variables in non-standardized situations
Strong understanding of the interplay between legal and business risk

Preferred

Knowledge of lending and commercial contracts preferred
Experienced in topical issues of particular regulatory concern (e.g. Privacy/GLBA, TISA, EFTA, ECOA, TILA, RESPA, TCPA, FCRA, SCRA, UDAAP, etc.) preferred, but not required
