Responsibilities

Lead cybersecurity due diligence for buy-side and sell-side M&A transactions
Assess cyber risk exposure and maturity of target companies
Identify material cybersecurity issues impacting valuation or deal structure
Translate technical findings into financial and legal risk implications
Evaluate security governance and operating model
Review IAM, endpoint, network, cloud, and data protection controls
Assess incident history, breach disclosures, and response readiness
Evaluate third-party risk management
Assess alignment with NIST, ISO, and CIS frameworks
Quantify cyber risk in business and financial terms
Identify red flags and remediation requirements
Produce executive-level diligence reports
Support purchase agreement language related to cybersecurity
Define Day 1 and Day 100 cybersecurity priorities
Develop post-close remediation roadmaps
Support carve-out and separation planning

Required

Experience with SaaS or cybersecurity product companies
Certifications such as CISSP, CISM, or CRISC
