Legal Counsel
Responsibilities
Lead and manage the formation of private equity funds and related structures, including flagship funds, parallel funds, co-investment vehicles, and SPVs
Draft, review, and negotiate core fund documentation, including: Limited Partnership Agreements (LPAs), Private Placement Memoranda (PPMs), subscription agreements, side letters with institutional investors
Serve as a primary point of contact for external counsel on fund formation matters
Advise senior management on fund structuring, investor negotiations, and market terms
Support fund closings, amendments, and ongoing fund maintenance matters
Collaborate with internal teams across investment, finance, tax, and compliance
Monitor regulatory developments impacting private equity fund structures and investor requirements
Assist with management company, GP, and carried interest vehicle matters as needed
Qualification
Required
J.D. from a top-tier law school; active bar membership in good standing
4 -10+ years of private equity fund formation experience at a leading Am Law 100 law firm
Deep familiarity with private equity fund documentation and institutional LP negotiations
Strong experience managing multiple fund launches and complex investor issues
Excellent drafting skills and commercial judgment
Ability to operate independently in a fast-paced, deal-driven environment
