Responsibilities
Advise clients on public and private offerings of equity, debt, and convertible securities
Prepare and review SEC filings including registration statements, prospectuses, and periodic reports
Ensure compliance with the Securities Act of 1933 and the Exchange Act of 1934
Support clients in navigating uplisting processes from OTC to NASDAQ/NYSE
Counsel clients on corporate governance, fiduciary duties, and compliance matters
Coordinate with investment banks, funds, and placement agents in capital markets transactions
Experience running deals
Qualification
Required
Juris Doctor (JD) from an accredited law school
Minimum 8 years of experience handling capital markets and securities law matters
Strong familiarity with SEC reporting obligations
Excellent legal drafting, analytical, and negotiation skills
Ability to handle multiple projects under tight deadlines
Preferred
Experience advising small- and mid-cap public companies
Experience with exchange listing requirements and uplisting strategy
