In-House Legal Counsel (UK based)
Deciphex is a leading digital pathology company, and they are seeking a commercially focused Legal Counsel to join their in-house legal team. The role involves drafting, reviewing, and negotiating commercial contracts, providing legal advice on various issues, and supporting the management of contracts across multiple jurisdictions.

Responsibilities
Draft, review and negotiate a high volume of commercial contracts, collaborating with internal and external stakeholders across multiple jurisdictions including master services agreements, SaaS agreements, software license agreements, contractor services agreements, NDA’s and supplier agreements
Develop, update and standardise contract precedents as necessary and play a key role in the management, organisation and improvement of the company’s customer and supplier contracts, including being a key stakeholder in the roll out of a new contract management system in Q1 and Q2
Provide practical, accurate and commercially focused legal advice regarding various legal issues including corporate and commercial matters, company secretarial and governance, regulatory, privacy and IP matters
Monitor and keep abreast of legal developments and legislative changes that may impact business and company goals and proactively advise on potential impacts
Support the structuring, drafting and ongoing maintenance of intercompany agreements between various Deciphex entities
Qualification
Required
Excellent academic record including a third level degree in Law or equivalent
Professionally qualified lawyer - Qualified to practice law in the UK and/or Ireland/EU
Ideally with 2 - 4 years' PQE in the UK and/or Ireland (experience in the US is desirable but not essential, although all relevant applications will be considered)
Strong experience structuring, drafting and negotiating a high volume and broad range of commercial contracts ideally within a med-technology, SaaS or regulated environment
Broad legal knowledge of AI, technology, software, compliance, data privacy, and IP matters with the ability to apply this knowledge in a practical business context
Ability to work in a cross-functional and geographically dispersed environment, partnering with stakeholders at varying levels of seniority
Ability to exercise sound independent judgment and ethical decision-making with a high degree of autonomy and minimal supervision
Strong attention to detail and ability to effectively prioritise, multi-task and manage competing deadlines
Ability to work under pressure, to prioritise effectively and provide clear, concise and commercially driven legal advice
Excellent verbal and written communication skills; attention to detail is essential
Adaptable, flexible and comfortable operating in a fast-paced, scale-up environment with constant change and challenge
Preferred
Experience working within life sciences sectors such as biotechnology, pharmaceuticals, medical devices, diagnostics, pathology, laboratory services, oncology, academic medical centres and/or wider clinical services
Experience with digital health solutions and health-related software platforms, ideally including (but not limited to) Digital Pathology and other data-driven clinical tools
Familiarity with healthcare and life sciences services and delivery models in the UK/Republic of Ireland, including interaction with public and private sector stakeholders
Familiarity with applicable clinical, regulatory and industry guidelines governing life sciences, healthcare, medical devices, diagnostics and related data use
Familiarity with advising on AI regulations, ESG regulations and related matters
Familiarity with using generative AI tools within a legal function to maximise efficiencies and productivity
