Responsibilities
Drafting and negotiating venture financing documents, including SAFEs, convertible notes, preferred stock financings, investor rights agreements, and capitalization tables
Supporting private company M&A transactions from LOI through closing, including diligence and ancillary documentation
Advising founders and executive teams on corporate governance, equity structuring, regulatory considerations, and growth strategy
Collaborating with partners and clients on strategic planning and long-term scaling initiatives
Advising venture funds and institutional investors on investor-side transactions and portfolio support
Participating in client calls, board meetings, and real-time deal strategy discussions
Working cross-functionally with tax, employment, IP, and fund teams to deliver integrated client solutions
Qualification
Required
1–4 years of corporate or emerging-growth experience
Exposure to venture financings and private company transactions
Strong drafting skills and sound commercial judgment
Interest in working closely with founders, investors, and growth-stage companies
