Senior LevelKeystone Recruitment is seeking a Venture Capital Legal Consultant to collaborate on AI training projects focused on venture capital and startup financing. The role involves leveraging expertise in transactional law to develop evaluation rubrics, annotate legal documents, and provide feedback to enhance AI model comprehension.

Responsibilities
Develop and evaluate legal rubrics for AI models based on venture capital and startup finance best practices
Draft, review, and annotate legal documents such as term sheets, SAFEs, Stock Purchase Agreements, and Convertible Notes for AI training purposes
Provide clear, structured feedback to enhance AI model understanding of VC transactions and startup financing
Translate complex legal and financial concepts into accessible content for AI learning
Collaborate with product and engineering teams to fine-tune AI model performance
Monitor, document, and continuously improve AI output quality, ensuring accuracy and relevance
Stay current with venture capital industry trends and update AI training modules accordingly
Qualification
Required
Law degree (JD, LLB, or equivalent) from a recognized institution
Active license to practice law
Demonstrated experience in venture capital or startup financing transactions
Experience drafting and negotiating term sheets, SAFEs, Stock Purchase Agreements, and/or Convertible Notes
Strong understanding of cap tables, dilution, valuation mechanics, and corporate governance
Exceptional written and verbal communication skills, especially in formal legal contexts
Familiarity with equity financings (Seed to Series C), shareholder agreements, and investor rights
Ability to distill complex transactional concepts for non-legal audiences
Preferred
Advising both startups and VC funds
Exposure to M&A, cross-border financings, or Delaware corporate law
Experience with technology, SaaS, AI, or fintech companies, or prior in-house legal experience
