The role involves advising on the formation, structuring, and operation of private investment funds, as well as understanding the regulatory landscape governing investment advisers and fund managers.

Responsibilities

5+ years of experience working on Investment Funds matters at a large or mid-sized law firm

Experience advising on the formation, structuring, and ongoing operation of private investment funds, including private equity, venture capital, hedge funds, real estate funds, and other pooled investment vehicles

Experience drafting and negotiating fund governing documents, including limited partnership agreements, subscription agreements, side letters, private placement memoranda, and investment management agreements

Experience counseling clients on the Investment Advisers Act, securities law, and other regulatory obligations applicable to fund managers and advisers

Licensed and in good standing in state of residence

Strong attention to detail
