Responsibilities
Advise startup clients across their full corporate lifecycle — from incorporation and financings to strategic exits
Draft and negotiate venture financing documents, SAFEs, convertible notes, and equity issuances
Handle day-to-day corporate governance, commercial agreements, and cap table matters
Support M&A deals, due diligence, and closing processes
Collaborate closely with founders, investors, and internal teams on complex, high-impact work
Qualification
Required
Licensed attorney with relevant corporate experience, ideally representing startup/emerging growth companies
Strong knowledge of venture financings, startup structures, and cap table mechanics
Business-minded, efficient, and capable of managing multiple matters in a fast-paced environment
No book of business required, but entrepreneurial mindset and interest in growing client relationships is highly valued
Preferred
Experience Level: Associate (3-5 years)
Full-time, Hybrid (2 days/week in office preferred)
