Newport Williams is an established boutique law firm specializing in global tech, seeking a Corporate Paralegal to join their team in San Jose. The role involves supporting attorneys in venture financings, corporate formations, governance, and M&A transactions, as well as managing corporate records and conducting legal research.

Responsibilities
Support attorneys in venture financings, corporate formations, governance, and M&A transactions
Prepare and file corporate documents (formation, amendments, stock issuances, etc.)
Manage and maintain corporate records and cap tables
Conduct legal research and due diligence
Coordinate with clients and internal teams to ensure timely document execution and filings
Qualification
Required
2–5 years of experience as a corporate paralegal, preferably in a law firm or in-house legal department focused on startups, emerging companies or venture capital
Strong knowledge of corporate law, venture financings, and cap table management
Excellent attention to detail and organizational skills
Ability to manage multiple tasks and deadlines in a fast-paced environment
