General Counsel

Responsibilities

Provide proactive and timely legal advice across operational, clinical, and strategic areas to support organizational goals and ensure compliance
Manage outside counsel relationships, including engagement, budgeting, and performance oversight
Keep the CEO and Executive Leadership Team informed of current and emerging legal risks across PPRM functions
Review, draft, and negotiate a wide range of contracts, including commercial, vendor, real estate, and data-sharing agreements
Build and maintain contract templates, playbooks, clause libraries, and approval matrices to improve cycle time and compliance
Establish legal checkpoints in procurement and support exclusion screening and conflict-of-interest disclosures
Provide legal guidance on various state and federal regulatory requirements such as: HIPAA, HITECH, 42 CFR Part 2, reproductive-health privacy laws, and state-specific confidentiality requirements (CO, NM, WY)
Clinical and operational (e.g., CLIA, DEA, radiation safety, facility licensure)
Employment and benefits-related (e.g. FMLA, ADA, Title VII, ERISA, COBRA, ACA) and other federal/state employment regulations
Monitor legal developments and implement compliant workflows with business partners
Ensure adherence to PPFA membership standards, trademark/brand use, and accreditation requirements
Advise on data privacy, security, indemnities, and IP matters
Negotiate DPAs and IT security terms (SOC 2, ISO 27001); conduct vendor risk assessments
Partner with IT/Security on breach response, tabletop exercises, and regulator/patient communications
Maintain enterprise record-retention schedules and oversee subpoena/records production workflows
Provide day-to-day legal support on employment matters including wage/hour, accommodations, leave, DEI, and disciplinary actions
Review HR policies and retirement and benefit plans for legal sufficiency
Lead or support privileged workplace investigations in coordination with HR
Provide legal guidance on Medicaid and other payer participation, enrollment, credentialing, and contracting
Review grant and subaward terms; advise on allowability, audit rights, and OIG/2 CFR 200 risks
Counsel on patient consent, minor consent, judicial bypass, and PHI-related subpoenas

Required

Juris Doctor (JD) from an accredited law school; active bar membership in Colorado, New Mexico, and Wyoming, or eligibility and willingness to obtain such membership within 12 months of hire
At least 7 years working professionally as an attorney, with a strong focus on contracting, privacy and data protection, labor and employment law, and internal investigations in health care, nonprofit, or adjacent sectors
Expert contract drafting and negotiation skills, including BAAs and data‑security clauses
Strong investigation skills, including interviewing, documentation, factual analysis, and objective report writing
Strong computer skills including the MS Office suite and the ability to learn new technology as required
Flexibility to work evenings and weekends as needed
Occasional travel within CO, NM and WY is required
Travel outside of the PPRM service area for purposes of training, conferences, or visiting other PPFA member sites may be required

Preferred

In‑depth knowledge of either PPFA or PPRM and the requirements of maintaining membership in the national organization is strongly preferred
