Responsibilities
Own core ’33/’34 Act work: 10-K/10-Q/8-K cycles; Section 16 (Forms 3/4/5); proxy and information statements (Sch. 14A/14C); annual meeting mechanics; Reg FD hygiene
Prepare and file S-1/S-3 (primary & resale), support registered directs/PIPEs, and handle Reg D/Reg A transactions with partner oversight
Support up listing and continued-listing readiness (governance, independence tests, charters), and liaise with exchanges and FINRA on corporate actions
Draft and refine MD&A, risk factors, business/management sections; coordinate SEC comment-letter responses
As bandwidth allows, pitch in on lower-middle-market M&A (LOIs, purchase agreements, disclosure schedules, closings)
Qualification
Required
At least 4–6 years of true issuer-side securities experience
Strong first-draft skills and closing discipline; organized checklist/runs-of-show mindset
Pragmatic communicator who escalates issues early and carries matters to the finish line
Low-ego, high-ownership teammate—accountable, accurate, and candid about experience
Bar: Admission in any U.S. state; open to Florida admission if not already admitted
