Responsibilities
Provide independent advice on the company's medium- and long-term development strategy
Assist the Board of Directors in evaluating major business decisions, investment plans, and strategic directions
Analyze industry trends, competitive landscape, and market opportunities
Propose improvements to the company's governance structure and board operation mechanisms
Assist in improving board processes, decision-making frameworks, and governance norms
Provide recommendations on best practices for the board
Provide professional opinions on mergers and acquisitions, restructuring, financing, listing, and major contracts
Participate in consultations on major risk events, crisis management, or key transformation projects
Participate in discussions of special board committees (such as audit, compensation, and strategy committees) as needed
Assist the Board of Directors in identifying strategic, financial, legal, and compliance risks
Provide advice on risk control and internal control system construction
Support the Board of Directors in fulfilling its oversight and accountability responsibilities
Provide strategic guidance and advice to the senior management team
Assist the board of directors in senior management evaluation, succession planning, and leadership development
Provide a third-party perspective in key management decisions
Introduce industry experience, professional networks, and external resources
Provide capital market, industry, or international perspectives (depending on the context)
Support important external communications without assuming legal responsibility on behalf of the company
Qualification
Required
Bachelor's degree or above in Business Administration, Finance, Law, Engineering, or a related field
Over 20 years of senior management, board, consulting, or industry leadership experience
Extensive experience in strategic management, corporate governance, capital operations, or specific industry sectors
Ability to provide independent and objective advice to senior management
Excellent strategic thinking and a holistic perspective
High ethical standards and independent judgment
Excellent communication, influence, and persuasion skills
Ability to quickly analyze complex issues and provide decision support
Strong awareness of confidentiality and compliance
