Responsibilities
Handle a steady flow of mergers and acquisitions and related financing matters, including credit agreements and equity and debt financings
Involved from diligence through closing, working directly with partners and clients
Lead drafting and negotiation, manage deal workflow, coordinate closings, and supervise junior team members
Exercise sound judgment on the structural and corporate issues that arise in complex transactions
Qualification
Required
5 to 8 years of strong M&A experience in a Big Law or midsized firm setting
Solid transactional skills
Experience with entity structuring (including LLC operating agreements)
Experience with joint ventures
Experience with venture capital or securities matters
Experience with complex commercial agreements
New York Bar admission
Ability to lead drafting and negotiation
Ability to manage deal workflow
Ability to coordinate closings
Ability to supervise junior team members
Ability to exercise sound judgment on structural and corporate issues in complex transactions
