Corporate Counsel, Contracts
Pep Boys is a leading automotive aftermarket service and retail chain, and they are seeking a Corporate Counsel - Contracts to handle the commercial contracting process. This role involves negotiating and drafting a variety of contracts, providing legal counsel across departments, and ensuring compliance with laws and regulations.

Responsibilities
Reviews, drafts and negotiates a wide variety of complex and day-to-day contracts and legal documents, including technology-related agreements (SaaS agreements, master/professional services agreements, statements of work, order forms, license agreements and others), and various commercial agreements (merchandising vendor/supplier contracts, master services agreements, transportation, distribution and logistics agreements, marketing agreements, operations, fleet services, RFPs, and event planning agreements, procurement agreements, confidentiality agreements and others)
Supervises in-house Senior Contracts Administrator. Oversees administration of contracts management system. Develops and maintains best practices regarding the company's contracts and business transactions. Assist with establishing and continuously improving contracts-related systems, policies and processes within the Law Department. Trains company personnel on contracts-related matters
Provides advice and counsel on contractual matters to all of the company’s functional areas, including IT, e-commerce, HR, Marketing, Merchandising, Environmental, Finance, Tax, Loss Prevention, and others. Provides practical, solution-oriented counseling and support in accordance with the company's policies to various business units, including risk mitigation and dispute avoidance and resolution counseling
Provides advice and counsel regarding data privacy/security and IT matters, partnering closely with our IT Department and Chief Information Security Officer when needed. Works to expand data privacy and security best practices into all aspects of company contracts
Develops a deep understanding of the various internal business units’ operations, including fulfillment models, sales practices, marketing methods, strategies, plans, goals and objectives. Applies solid understanding of laws, regulations and legal principles relevant to day-to-day work and remains up to date with current legal risks to assess and proactively advise on potential or emerging business risks faced by the company
Reviews all print, web and radio advertisements for compliance with applicable laws, rules and regulations as well as internal company requirements; works with outside counsel to develop and maintain approved advertising and promotional disclaimers. Supervises outside marketing and advertising counsel
Proactively manages and assists outside counsel on various matters
Performs other duties as may be assigned, from time to time
Qualification
Required
Strong, in-depth knowledge of contract law, with a broad base of contracts experience
5+ years of contracts experience as an attorney
In-house experience managing a wide variety of agreements from start to finish
Significant experience (4+ years) with commercial contract drafting and negotiations
Experience with practical dispute resolution, including the evaluation of contractual claims and relevant cost-benefit analyses
General understanding of emerging technologies, cloud computing, and SaaS infrastructure
Experience assisting with compliance efforts regarding a full range of federal, state, and local laws and regulations
Strong communication (verbal and written), advocacy, drafting and contract negotiation skills
Experience handling a variety of legal matters and projects
Establish successful business relationships and think in practical, solution-oriented and commercial ways
Successfully negotiate business agreements and to resolve disputes with business partners
Conceptualize and analyze multiple scenarios in solving broadly defined or complex business problems
Effectively communicate complex messages to diverse audiences at all organization levels
Maintain a comprehensive contract management system to track contract status, renewal dates, and key terms
Capacity to analyze legal issues, identify potential risks, and develop strategic solutions
Has strong organizational skills and the ability to prioritize multiple tasks effectively
Proven ability to use computer software and applications, including Microsoft Office, Teams, and Excel to share, retrieve, research and present business and legal information
Willingness and ability to travel as necessary
Preferred
Automotive and/or retail industry experience is helpful, but not required
