Lead legal work on private equity and debt financings, including growth rounds, structured investments, and convertibles
Advise on U.S. securities law and investor disclosures
Draft and negotiate financing and subscription documents
Partner with finance and leadership on fundraising, capital structure, and investor strategy
Manage outside counsel and advisors
Support M&A, secondary transactions, and pre-IPO readiness

J.D. and active U.S. bar membership
