Responsibilities
Draft, review, negotiate, and manage a wide range of commercial and corporate contracts (vendor agreements, service agreements, confidentiality agreements, M&A related documents, etc.)
Provide practical legal advice on corporate governance, compliance, and business operations
Support business teams on legal risk assessment and best practices related to regulatory matters
Conduct legal research and interpret statutes, regulations, and case law applicable to company initiatives
Collaborate with external counsel when necessary and manage outside legal spend
Assist with routine corporate maintenance, policy drafting, and internal legal trainings as needed
Qualification
Required
Juris Doctor (JD) from an ABA-accredited law school
Active license to practice law (Tennessee or eligible for in-house counseling)
4+ years of legal experience, ideally with a focus on business law, corporate transactions, contracts, compliance, or related fields
Strong negotiation, drafting, analytical, and communication skills
Ability to work independently in a remote setting and manage competing priorities effectively
Preferred
Experience advising startups, emerging growth companies, or mid-sized organizations
Familiarity with corporate governance best practices
Background in employment law, IP, or regulatory compliance
