Corporate Counsel

Huntsman Corporation is seeking a Corporate Counsel to support its Global Legal Department located in The Woodlands, Texas. The role involves providing legal support for corporate operations, advising on governance, securities law, finance transactions, and M&A activities, while collaborating with senior management and cross-functional teams.

Responsibilities

Support public company governance and U.S. securities law compliance, including preparation and filing of SEC reports (Forms 10-K, 10-Q, and 8-K)
Prepare, review, and advise on Section 16 filings and disclosure requirements
Monitor and advise on new securities law developments and regulatory matters
Provide legal support to Investor Relations, including review of earnings releases, press releases, investor presentations, proxy statements, and annual stockholder meeting materials
Assist with the preparation of board and committee materials
Support finance and capital markets transactions, including debt financings, working capital facilities, securitizations, and derivative transactions
Assist the corporate development team with global M&A transactions, including due diligence, drafting and negotiating transaction documents, and preparing disclosure schedules
Promote high ethical standards and advise on compliance with laws, regulations, and company policies
Maintain consistent corporate governance practices across Huntsman’s global legal entity structure
Manage and coordinate outside counsel as needed

Required

The candidate must have an unrestricted right to work for Huntsman in the United States
Juris Doctor (JD) from an accredited U.S. law school with demonstrated academic excellence
2–5 years of experience practicing corporate law at a highly regarded law firm and/or in the legal department of a U.S. publicly traded company
Active license to practice law and in good standing with an applicable U.S. state bar
Transactional experience in Finance, Capital Markets, and/or M&A
Experience drafting diligence memorandums, deal summaries, and managing virtual data rooms
Demonstrated project management experience in a dynamic corporate environment
Strong analytical, problem-solving, and legal judgment skills
High ethical standards with the ability to handle confidential and sensitive information
Strong written and verbal communication skills
Ability to collaborate effectively with cross-functional and senior leadership teams
Demonstrated maturity, integrity, discipline, and sound business judgment
Team-oriented mindset with strong organizational and situational awareness

Preferred

In-house transactional experience at a multinational corporation
Experience working in a global, culturally diverse, and matrixed organization
Prior exposure to investor relations and board-level governance matters
