Responsibilities

Direct and provide legal advice related to SEC reports, registration statements and related correspondence
Ensure compliance with stock exchange requirements and insider trading laws and policies
Oversee corporate governance matters, including legal compliance, preparation of the annual proxy statement and implementation of governance best practices
Ensure legal compliance for matters relating to investor relations and shareholder engagement, including associated public disclosure
Oversee legal support for corporate bond issuances, credit facilities, equity issuances, share repurchases and other treasury activity
Manage a team of paralegals and mentor junior attorneys

Qualification

Required

Juris Doctor (JD) from an accredited law school and active membership in a state bar
At least 6 years' experience at an internationally-recognized law firm providing legal counsel for corporate governance and securities matters
Strong communication and interpersonal skills
Ability to work effectively in a fast-paced and dynamic environment

Preferred

Experience in providing legal counsel in a corporate environment
Comprehensive knowledge and expertise in areas of law beyond securities and governance, including corporate transactions and litigation
Strong leadership, managerial, and team-building abilities to lead a legal team effectively and collaborate across departments
Experience in corporate governance and securities law
