Junior Attorney

Responsibilities

Review, analyze, and summarize a wide range of commercial contracts, including but not limited to:
Vendor and supplier agreements
Customer contracts
NDAs and confidentiality agreements
Professional services agreements
Identify legal, financial, and operational risks and escalate issues to the General Counsel as appropriate
Support contract negotiations by drafting revisions, redlines, and issue summaries
Ensure contracts align with company policies, risk tolerance, and standard terms
Assist in maintaining contract repositories and tracking key contractual obligations, renewals, and expirations
Collaborate with Finance, HR, Operations, and Procurement to support timely and compliant contract execution
Support corporate restructuring initiatives, including mergers, acquisitions, integrations, dissolutions, and entity realignments
Assist with entity management, including:
Corporate filings and registrations
Maintenance of corporate records, resolutions, and governance documents
Coordination with outside counsel and registered agents
Prepare and review internal legal documentation related to corporate changes, reorganizations, and compliance requirements
Conduct legal research related to corporate law, regulatory requirements, and restructuring implications
Support due diligence efforts for acquisitions and internal reorganizations
Assist in developing standardized processes, templates, and documentation to support scalable corporate growth

Required

Juris Doctor (JD) from an accredited law school
Admission to practice law in at least one U.S. jurisdiction (or ability to obtain admission within a reasonable timeframe)
1–3 years of experience in a law firm or in-house legal environment, with exposure to contract review and/or corporate law
Strong analytical, organizational, and drafting skills
High attention to detail with the ability to manage multiple priorities and deadlines
Ability to exercise sound judgment and maintain confidentiality

Preferred

Experience supporting mergers, acquisitions, or corporate restructuring
Familiarity with entity management, corporate governance, and compliance processes
Experience working cross-functionally in a fast-paced, growth-oriented organization
Comfort working with contract management systems and legal technology tools
