Responsibilities
Drive M&A transactions through all phases, from initial structuring and diligence to closing and post-closing matters
Prepare, review, and negotiate complex transaction documents, including stock and asset purchase agreements, merger agreements, joint venture arrangements, and operating agreements
Advise clients on deal structure, strategic considerations, regulatory compliance, and risk allocation
Work collaboratively with firm partners, internal specialists, external advisors, and financing sources in domestic and cross-border transactions
Foster strong, enduring client relationships aligned with a client-centric service philosophy
Qualification
Required
3+ years of substantive M&A experience
Strong drafting, negotiation, and transaction management skills across a range of deal structures
Member of the District of Columbia Bar in good standing
