Responsibilities
Draft, review, and file corporate documents related to entity formations, foreign qualifications, amendments, and related state filings
Handle M&A transactions—from due diligence through post-closing integration
Prepare, review, and coordinate documents for mergers, acquisitions, purchase agreements, banking and loan transactions, and regulatory applications
Conduct due diligence, including UCC searches, summaries, and filings; assist with regulatory and SEC filings
Manage closing logistics: memos, checklists, signature sets, execution, and document distribution
Support post-closing activities, including document organization and compliance tracking
Manage data rooms, organize and review corporate records, and prepare clear, concise summaries
Qualification
Required
Bachelor's degree or paralegal certificate strongly preferred
At least three (3) years of paraprofessional experience in a law firm or professional services environment
Solid understanding of state and federal regulatory filings and experience working with regulatory agencies
Preferred
Healthcare and/or securities background preferred
