Corporate Paralegal
Gainor Staffing is a prestigious international law firm seeking a skilled Corporate Paralegal to join their team. The role involves drafting and managing corporate documents, conducting due diligence, and supporting transaction closings while leveraging AI tools to streamline processes.
Responsibilities
Draft and manage corporate documents, stock ledgers, and capitalization tables
Prepare and file entity formations, amendments, mergers, dissolutions, and name reservations
Conduct due diligence and coordinate UCC, tax lien, and bankruptcy searches
Support transaction closings, including signature packets and closing binders
Leverage AI tools to create diligence matrices and draft disclosure schedules
Prepare and file IRS SS-4, SEC Form D, UCC financing statements, and related filings
Manage state qualifications and good standing certificates
Track post-closing deadlines and maintain company records
Qualification
Required
You have a bachelor's degree and 5+ years of corporate paralegal experience
Strong communication skills and confidence in client-facing interactions
Highly organized with exceptional attention to detail
Able to manage multiple transactions and deadlines simultaneously
Preferred
Paralegal certificate and notary certification preferred
Experience with AI tools (KIRA, Harvey) and iManage Closing Folders, a plus!
