Responsibilities

Assist in the formation, structuring and capital raising for private investment funds
Draft and revise fund documents, such as private placement memoranda, operating agreements, supplements, subscription agreements, investor questionnaires, side letters, closing documents and more
Support ongoing investor relations matters, including preparing disclosure updates
Assist with preparing and filing Form ADVs, Form Ds and other federal and state regulatory filings
Assist with regulatory examinations, including preparing responses and document collection
Support registered investment advisers with compliance under the Investment Advisers Act of 1940
Assist with drafting and reviewing term sheets, purchase agreements and financing documents
Conduct legal due diligence for investments and portfolio company transactions
Coordinate with fund administrators, compliance consultants and other service providers
Support senior attorneys in managing transactions and client matters

New York bar admission required
Must be authorized to work in the U.S
Knowledge of securities and corporate law
A minimum of 1 year of experience with regulatory requirements and compliance issues
Self-motivated and proactive approach to managing client relationships; must be invested in our clients and deeply committed to obtaining the best possible outcome for them
Excellent interpersonal communication skills and exemplary attention to detail
1+ years of substantive legal experience

Preferred

Experience with legal issues impacting private funds and investment managers
