Responsibilities

Provide legal counsel on compliance and reporting obligations arising from EA's debt instruments
Partner with finance on covenant compliance, reporting triggers, and ongoing obligations under existing and future debt facilities
Draft, review, and negotiate documentation, including credit agreements, security agreements, guarantees, amendments, waivers, and consents
Partner with Finance with respect to ongoing refinancing efforts, including effective management of outside counsel
Lead M&A integration efforts as they relate to securitization and other debt financing matters
Provide targeted legal support for strategic initiatives, including mergers, acquisitions, divestitures, strategic investments, and similar transactions
Assist with governance matters

Required

J.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction
5+ years of corporate experience in debt financing, securities, M&A and strategic initiatives
Strong drafting, negotiation, and analytical skills
Ability to work independently and collaboratively across teams
Ability to effectively manage competing priorities
Excellent communication and project management skills
Experience managing external counsel and cross-jurisdictional legal issues
