Responsibilities

Draft and manage Exchange Act reporting and compliance, including Forms 10-K, 10-Q, 20-F, 8-K/6-K, and related filings (including Section 16 Forms 3/4/5 and Schedules 13D/13G, as applicable)
Draft and support Securities Act registration statements and offering documentation, including Forms S-1, S-3, S-4 and F-1, F-3, F-4, including SEC comment responses and EDGAR filings
Draft, review, and negotiate transaction documents and ancillary agreements for public offerings and private placements (e.g., purchase agreements, underwriting/placement agent agreements, registration rights agreements, warrants, closing deliverables/legal opinions)
Handle M&A and strategic transactions (public and private), including principal agreements, disclosure schedules, diligence, and closing mechanics
Advise on corporate governance and company maintenance, including board/stockholder consents, minutes, charter/bylaw matters, and related approvals
Manage diligence and execution workstreams while coordinating with clients, bankers, auditors, transfer agents, filing agents, and counterparties to drive transaction closings

Required

JD from an accredited law school & an active bar admission in the US
4+ years of hands-on experience in capital markets, securities compliance, and M&A
A strong background in corporate governance, Nasdaq, NYSE, OTC and SEC compliance matters, rules and regulations
Demonstrated experience drafting and managing Exchange Act filings (including Forms 10-K, 10-Q, and 8-K/6-K), and supporting Securities Act registration statements (including S-1/S-3/S-4 and/or F-1/F-3/F-4)
Experience drafting and negotiating public offering/private placement transaction documents, including purchase/underwriting/placement documentation and common ancillary agreements (e.g., registration rights, warrants, lock-ups)
M&A experience (public and/or private), including diligence, principal transaction documents, and closing mechanics
Excellent analytical, financial modeling, and due diligence skills

Preferred

Have led or handled an IPO, uplisting, follow-on offering, ELOC or ATM transaction from start to finish
Significant client-facing experience
Knowledge or experience in life sciences
Knowledge of FDA regulatory frameworks
Demonstrated interest in business development
