Responsibilities
Lead client’s legal team of 3 legal professionals and various external providers to appropriately meet business and legal goals, drive operational efficiencies, and provide guidance / team development
Represent the legal team with the executive leadership (role reports to the CFO) to:
Provide strategic guidance (including on company AI and sales channel strategies)
Provide clear legal communications / information
Manage escalations, and
Help drive the business while mitigating risk
Be an integrated business partner, build relationships, and provide ongoing support/partnership for commercial, privacy, security, product, IP, employment, regulatory, corporate, compliance and various dispute / litigation matters, especially in the development of new product and revenue lines
Manage commercial contracts function and matters, including:
Implementation of new CMS
Negotiation & drafting of revenue contracts (enterprise, partnership, online sales, etc.)
Negotiation & drafting of vendor / procurement contracts (coordinating with procurement team), and
Oversight of commercial contracts support personnel (internal & external)
Manage privacy and cybersecurity matters
Oversee other legal subject matters as needed (e.g. corporate, IP, employment, disputes, corporate governance, compliance, real estate, etc.)
Proactively identify legal risks and work with CFO/ELT, and key stakeholders to effectively eliminate or mitigate those risks while concurrently supporting strategic business goals
Manage outside counsel including oversight, structure and use
Qualification
Required
JD from a US law school. Active and in good standing with the Bar of at least 1 US state
At least 8+ years of legal experience with at least 2+ years as Head of Legal at a technology or eCommerce company
Experience advising individuals and groups at all levels on a broad array of legal topics and matters, with an eye toward proactive and pragmatic partnering, building, facilitation, resolution, and problem-solving
Hands-on experience executing complex transactions at all levels, providing risk balanced and practical product advice, managing various corporate matters and a commercial contracts function as well as privacy, security, IP, employment, regulatory, compliance and various dispute / litigation matters
Experience directly overseeing outside counsel and other service providers
Exceptional collaboration, communication, coordination and management skills
Demonstrated business friendly, collaborative, proactive, partnership and practical solutions-oriented mentality/approach
Experience working in a fast-paced, dynamic environment is essential, especially within a growth stage start up or working in a PE led business
