10+ years expTothemoon is seeking an experienced Senior Legal Counsel to work directly with Board-level stakeholders across a portfolio of international ventures. This role focuses on investments, corporate structuring, risk management, and legal representation, requiring strong technical legal expertise and a commercial mindset.

Responsibilities
Provide legal support for investments, acquisitions, divestments, and strategic partnerships
Structure and review investment vehicles, shareholder agreements, term sheets, and transaction documentation
Conduct and oversee legal due diligence for new investment opportunities
Advise on risk assessment and mitigation related to investment activities
Design and maintain efficient corporate and ownership structures across multiple jurisdictions
Advise on restructuring, reorganizations, and cross-border legal frameworks
Support governance matters at holding and operating entity levels
Coordinate with external advisors, law firms, and corporate service providers globally
Act as a primary legal advisor to the Board-level stakeholders, providing practical, business-oriented legal guidance
Translate complex legal matters into clear recommendations for strategic decisions
Anticipate legal risks and proactively propose solutions
Manage disputes and claims, including court representation when required
Oversee litigation strategy, settlement negotiations, and enforcement matters
Coordinate with external counsel and represent interests in legal proceedings where appropriate
Monitor legal and regulatory risks across jurisdictions
Ensure compliance with applicable corporate, commercial, and investment-related regulations
Maintain confidentiality and protect the Board-level stakeholders’s personal and business interests
Qualification
Required
Fully qualified lawyer (LLB / JD or equivalent)
10+ years of experience in corporate, investment, or commercial law
Strong background in Investments & M&A
Strong background in Corporate structuring (including cross-border setups)
Strong background in Shareholder and governance matters
Experience representing clients in courts or dispute proceedings
Ability to work autonomously and manage complex matters end-to-end
Excellent judgment, discretion, and integrity
Strong negotiation, drafting, and communication skills
Preferred
Additional certifications are a plus
Fluent English (additional languages are an advantage)
