Responsibilities
Representing corporate clients and underwriters in a broad range of capital markets transactions, including SEC-registered debt and equity offerings and shelf registrations, and private offerings under Rule 144A, Regulation D, Regulation S and other exemptions (some foreign private issuer and/or MJDS experience is preferred but not strictly necessary)
Advising corporate clients on SEC reporting requirements, including annual, quarterly and other periodic reports and proxy statements (ideally also Section 13(d) and Section 16 reporting and registration statements on Form S-8 but not strictly necessary)
Providing corporate clients with general corporate and securities law advice, including stock exchange and corporate governance matters
Qualification
Required
1-5 years at a well respected firm
representing corporate clients and underwriters in a broad range of capital markets transactions, including SEC-registered debt and equity offerings and shelf registrations, and private offerings under Rule 144A, Regulation D, Regulation S and other exemptions
advising corporate clients on SEC reporting requirements, including annual, quarterly and other periodic reports and proxy statements
providing corporate clients with general corporate and securities law advice, including stock exchange and corporate governance matters
Preferred
some foreign private issuer and/or MJDS experience
ideally also Section 13(d) and Section 16 reporting and registration statements on Form S-8
