Direct Counsel is seeking an Investment Funds Mid-Level Associate to join a top-tier, national law firm with a premier private equity and investment management practice. The ideal candidate will assist private equity fund sponsors with fund formation matters, including drafting and negotiating various fund documents and advising on regulatory matters applicable to private investment funds.

Responsibilities

Assisting private equity fund sponsors with fund formation matters, including drafting and negotiating:
Private placement memoranda
Limited partnership agreements
Side letters and related ancillary agreements
Reviewing fund documentation on behalf of institutional investors and negotiating fund terms
Structuring and drafting governing documents for private equity fund management companies and general partners
Advising on regulatory matters applicable to private investment funds

Qualification

Private equity fund formationSecurities laws knowledgeDrafting agreementsNegotiation skillsClient communicationState bar admission

Required

4–6 years of private equity fund formation experience
Working knowledge of relevant securities laws and regulations, including the Investment Advisers Act
Excellent drafting, negotiation, and client communication skills
Admission to the state bar in the office location (or eligibility for prompt admission)

Preferred

Experience with private equity secondary transactions and/or GP-led restructurings is a plus
