Responsibilities
Responsible for providing ongoing advice and support related to a wide variety of commercial contracts, including the drafting, review, and negotiation of master service agreements and security addendums with payors, software license agreements, development and partnership arrangements, confidentiality agreements, and business associate agreements
Provide leadership and legal advice on a range of legal matters, including contracts, marketing and promotions, anti-corruption, health care regulatory guidance, artificial intelligence, and general corporate matters
Lead, anticipate, and drive solutions for a range of legal and business issues
Provide advice regarding customer and other commercial/business disputes
Review, develop, implement, communicate, enforce, and monitor contract review compliance as well as other processes, policies, and procedures
Work closely with Associate General Counsel and outside counsel on relevant matters
Participate, interact, and engage on sales or vendor related negotiations
Review and respond to subpoenas or other legal documents that are received in the ordinary course of business
Conduct legal research as needed
Assisting in the implementation of legal processes required to determine the privileges, obligations, and rights of the organization
With the assistance of the Associate General Counsel and/or external counsel, determine the advisability of defending or initiating a lawsuit
Assisting in the application for registration or copyrights of the products, devices, processes, and trademarks of the organization
Perform other duties as assigned
Qualification
Required
Juris Doctor from accredited university is required
4+ years of direct experience with commercial contracts and business law background, including at least 2 years of relevant legal experience in a law firm or in-house legal department is required
Member in good standing with the Missouri Bar, Massachusetts Bar or other state
Preferred
2+ years of experience developing and implementing legal solutions is preferred
Mix of law firm and in-house experience is preferred
Health law experience strongly is preferred
