Innovative Driven is currently seeking a dynamic Senior Corporate Paralegal to join the team at one of their most well-respected law firm clients. The role involves facilitating IPOs, managing closing documents, and conducting due diligence for capital markets and corporate transactions.

Responsibilities

Facilitation of IPO's and public company matters and registration statement numerical backup spreadsheets, beneficial ownership tables

Completion of '34 act, Section 16 reporting, Rule 144 and legend removal letters

Handling transfer agent onboarding, stock exchange applications, FINRA filings, selling stockholder matters

Managing the workflow for closing documents, closing volumes and board resolutions and minutes

Updating corporate records management, stock option plan implementation and administration, venture capital financings

Conducting Blue Sky research

Collecting due diligence documents and organize electronic data sites

Performing diligence research and capitalization due diligence

Coordinating shareholder mailings and regulatory filings

Drafting and manage signing and closing documents, and preparing closing volumes
