Responsibilities
Collaborate with attorneys on M&A, private equity, real estate, and securities filings
Manage entity formations, dissolutions, and compliance processes
Draft and maintain corporate governance documents and support due diligence
Oversee transaction closings —from documentation to post-closing follow-up
File required regulatory forms, including Form D, Form ID, and Blue Sky via EDGAR/EFD
Maintain minute books and act as liaison for ongoing corporate entity maintenance
Support real estate transactions with title review, escrow coordination, and documentation
Qualification
Required
5+ years of experience in a mid-to-large law firm environment
Proven ability to independently manage closings and transactional workflows
Strong drafting, research, and organizational skills
Tech-savviness with tools like NetDocuments, DocuSign, EDGAR, Westlaw, and Microsoft Office Suite
Excellent communication and multitasking skills
Experience with billing/time entry systems like Elite or Aderant
Bachelor's degree and/or Paralegal Certificate required
