Responsibilities
Prepare, manage, and maintain documentation related to legal entities, including formations, dissolutions, foreign qualifications, registered agent communications, consents, organizational documents, and annual reports
Draft, organize, and maintain corporate minute books and governance records, including operating agreements and officer elections and appointments
Develop, maintain, and ensure the accuracy of a centralized legal entity management database
Perform initial review and revisions of template agreements, including nondisclosure agreements, in accordance with Company standards and approved language
Support the Legal team in commercial contract negotiations by managing document versions, tracking changes, and ensuring alignment with standard contractual clauses
Establish and maintain a commercial contracts database covering the full contract lifecycle
Maintain a comprehensive calendar of contract renewals, expirations, and key contractual deadlines
Coordinate with internal stakeholders to ensure timely renewals, terminations, and compliance with contractual obligations
Identify deviations, risks, or timing issues and escalate appropriately to Legal leadership
Prepare insurance license applications and insurance holding company act filings
Coordinate with internal teams and regulators to support timely, accurate, and complete submissions
Qualification
Required
Demonstrated experience as a paralegal or in a comparable legal support role, with a focus on corporate governance, legal entity management, and contract administration
Experience supporting commercial contracts and maintaining contract lifecycle documentation
Strong organizational skills and attention to detail, with the ability to manage multiple priorities and deadlines
Ability to exercise independent judgment within established guidelines and recognize when escalation is required
Preferred
Familiarity with insurance regulatory filings or experience in insurance or financial services strongly preferred
Paralegal certificate or relevant degree preferred
