Responsibilities

Advise clients on business formation, restructuring, and dissolution
Draft, review, and negotiate core corporate documents, including operating agreements, shareholder agreements, bylaws, and buy-sell agreements
Handle mergers, acquisitions, divestitures, and sales of business assets
Counsel boards of directors and executives on governance and fiduciary responsibilities
Guide clients through ownership transitions, capital restructuring, and partner exits
Provide strategic legal advice on franchising and related business model decisions
Collaborate with clients and internal teams to ensure accurate, timely execution of transactional matters

Qualification

Juris Doctor (JD)Business transactions experienceCorporate governance knowledgeMergersAcquisitionsDrafting transactional documentsCommunication skillsClient-first mindsetTechnical problem-solvingOrganizational skillsCollaboration

Required

Juris Doctor (JD) from an accredited law school and active membership in the Florida Bar
Minimum of five (5) years of experience in business transactions, corporate law, or M&A
Proven ability to draft precise, reliable transactional documents
Strong organizational skills with the ability to manage multiple deals and deadlines simultaneously
Excellent communication skills with the ability to advise and persuade diverse stakeholders

Preferred

Experience with mid-market mergers and acquisitions
Familiarity with multistate or cross-border transactions
Background in advising privately held or family-owned businesses on governance and succession issues
