Senior Legal Counsel
Barclay Simpson is a global private equity fund seeking an experienced Funds Counsel to support the formation and operation of its private investment funds. The role involves leading legal aspects of fund formation, advising on fund structuring, overseeing regulatory compliance, and managing investor-related documentation.

Responsibilities
Lead and manage the legal aspects of private equity fund formation, including drafting, reviewing, and negotiating fund governing documents (e.g., limited partnership agreements, subscription documents, side letters, and related agreements)
Advise on fund structuring matters across domestic and international jurisdictions, including parallel funds, feeder funds, co-investment vehicles, and separately managed accounts
Oversee regulatory and compliance matters related to private funds, including U.S. securities laws, Investment Advisers Act considerations, and coordination with compliance teams
Review and negotiate investor-related documentation and respond to investor inquiries regarding legal, regulatory, and structural issues
Qualification
Required

Preferred
Experience supporting co-investments, GP-led transactions, or continuation vehicles
Comfort working directly with senior stakeholders and sophisticated institutional investors
