Responsibilities
Draft and negotiate stock and asset purchase agreements, merger agreements, and joint venture documents
Conduct due diligence, prepare disclosure schedules, and coordinate closings for M&A transactions
Advise clients on entity formation, governance, shareholder agreements, and equity incentive plans
Handle commercial financings, including loan documentation, security agreements, and subordination agreements
Negotiate commercial contracts, licensing agreements, and vendor relationships
Maintain direct client relationships and provide strategic, practical counsel
Qualification
Required
3–10 years of corporate transactions experience, including M&A, financings, and commercial agreements
Strong legal writing and analytical skills
Comfort advising business owners, investors, and lenders
Admitted in New Jersey
Collaborative, client-focused mindset with interest in long-term growth
