Private Funds Counsel - Investment Firm
Larson Maddox is a leading global private equity firm seeking a Legal Counsel, Funds to manage the legal operations behind fund formation and capital-raising activities. The role involves partnering with investment teams and senior leadership to ensure compliant execution of fundraising initiatives and involves drafting fund documents and coordinating investor closings.
Responsibilities
Lead the legal workstream for new fund launches and co‑investment vehicles, including drafting and negotiating fund documents, side letters, and subscription materials
Review and refine private placement memoranda, marketing decks, diligence materials, and investor communications
Support ongoing fundraising cycles by responding to investor inquiries, negotiating bespoke terms, and ensuring consistent application of fund provisions
Work closely with deal teams on term sheets, bid letters, and transaction‑related documentation when fundraising intersects with deal execution
Monitor regulatory developments affecting private funds and incorporate updates into fundraising practices and documentation
Assist with regulatory filings tied to fund activity or portfolio transactions
Serve as a practical, business‑minded advisor to teams across the firm, helping translate legal requirements into clear operational steps
Qualification
Required
JD accredited law school
Minimum 4 years of experience in the investment management group at a law firm or relevant in-house experience
Fund formation experience required
Ability to work autonomously
